SCALENDO – TERMS OF SERVICE

IMPORTANT LEGAL NOTICE
THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION CLAUSE AND A CLASS ACTION WAIVER. PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE PLATFORM.

1. LEGAL ENTITY, OWNERSHIP & ACCEPTANCE

These Terms of Service (“Terms”) constitute a legally binding agreement between:

(“Company”, “we”, “us”, or “our”)

and the individual or legal entity accessing or using the Platform (“you” or “User”).

Scalendo is a proprietary software platform owned and operated exclusively by WMC Tech Sdn. Bhd.

By creating an account, subscribing, accessing, or using Scalendo, you confirm that:

You are at least 18 years old

You have legal capacity to enter into a binding contract

You have read, understood, and agree to be bound by these Terms

If you do not agree, do not access or use the Platform.

2. NATURE OF THE PLATFORM

Scalendo is a Software-as-a-Service (SaaS) platform that provides business tools, automation, CRM, communication features, marketing utilities, and artificial intelligence–powered functionality.

Scalendo:

Is a technology platform only

Does not provide legal, financial, tax, medical, or professional advice

Makes no guarantees regarding income, profits, or business outcomes

You are solely responsible for your use of the Platform and your compliance with all applicable laws.

3. ACCOUNT REGISTRATION & SECURITY

You must provide accurate, current, and complete information

You are responsible for maintaining confidentiality of login credentials

All actions taken under your account are deemed authorised by you

Accounts are non-transferable

We may suspend or terminate accounts for fraud, abuse, security risks, or violation of these Terms.

4. ACCEPTABLE USE POLICY

You agree not to use the Platform for any unlawful, deceptive, abusive, or prohibited activity, including but not limited to:

Violating Malaysian law or international regulations

Sending spam, scams, phishing, or unauthorised communications

Uploading malicious code or harmful content

Infringing intellectual property rights

Reverse-engineering or attempting to access source code

Misrepresenting Scalendo or WMC Tech Sdn. Bhd.

Violation may result in immediate suspension or termination without refund.

5. FEES, BILLING & AUTO-RENEWAL

Subscription fees are billed in advance

Subscriptions automatically renew unless cancelled prior to renewal

Pricing, plans, and features may change at any time with notice

You authorise recurring charges to your selected payment method

6. STRICT NO-REFUND POLICY

ALL PAYMENTS MADE TO SCALENDO ARE FINAL AND STRICTLY NON-REFUNDABLE.

This includes, without limitation:

Subscription fees

Setup or onboarding fees

Usage-based charges

Add-ons or integrations

Partially used periods or unused time

No refunds, credits, reversals, or prorated amounts will be issued under any circumstances, except where required by Malaysian law.

By completing a purchase, you explicitly acknowledge and accept this no-refund policy.

7. CANCELLATION & TERMINATION

You may cancel your subscription via your account dashboard. Cancellation:

Stops future billing only

Does not entitle you to any refund

Upon termination:

Platform access ends immediately

Data may be permanently deleted after a retention period

We are not liable for any loss of data

8. PAYMENT DISPUTES, CHARGEBACKS & GATEWAY PROTECTION

8.1 No Chargebacks

You agree not to initiate chargebacks or payment disputes via your bank or payment provider.

Any chargeback attempt constitutes a material breach of these Terms.

8.2 Evidence Authorisation

You authorise Scalendo to submit these Terms, checkout disclaimers, access logs, IP records, timestamps, and usage data as evidence in any dispute with Stripe, PayPal, or other processors.

8.3 Suspension on Dispute

We may immediately suspend or terminate your access if a payment dispute or chargeback is initiated, without refund.

8.4 Chargeback Fees

You agree to reimburse all chargeback fees, penalties, and administrative costs imposed on us by payment processors.

9. THIRD-PARTY SERVICES

The Platform may integrate with third-party tools and services.

We:

Do not control third-party platforms

Are not responsible for outages, errors, or data loss caused by third parties

Disclaim all liability relating to third-party services

Use is entirely at your own risk.

10. INTELLECTUAL PROPERTY

All software, code, trademarks, branding, workflows, interfaces, and content forming part of Scalendo are owned by WMC Tech Sdn. Bhd. or its licensors.

You are granted a limited, revocable, non-exclusive licence to use the Platform solely for its intended purpose.

No ownership rights are transferred.

11. ARTIFICIAL INTELLIGENCE FEATURES

AI features are provided “as is” and may produce inaccurate, incomplete, or inappropriate outputs.

You acknowledge that:

AI output is not professional advice

You are responsible for reviewing all AI-generated content

You must not input sensitive, regulated, or confidential personal data

We disclaim all liability arising from AI usage or outputs.

12. DATA PROTECTION & PRIVACY

Personal data is processed in accordance with:

The Personal Data Protection Act 2010 (Malaysia)

Our Privacy Policy

Our Data Processing Agreement (DPA)

You act as Data Controller; WMC Tech Sdn. Bhd. acts as Data Processor.

13. INTERNATIONAL USERS

If you access Scalendo outside Malaysia:

Your data may be processed in Malaysia or other jurisdictions

Malaysian law shall govern these Terms to the extent permitted

You are responsible for local legal compliance

Where applicable, GDPR obligations apply only to the extent required by law.

14. DISCLAIMERS

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND.

We do not guarantee:

Continuous availability or uptime

Error-free operation

Accuracy of outputs

Business success or results

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law, our total liability shall not exceed the total fees paid by you in the preceding three (3) months.

We are not liable for indirect, incidental, consequential, or special damages.

16. INDEMNITY

You agree to indemnify and hold harmless WMC Tech Sdn. Bhd., its directors, officers, employees, and agents from any claims arising from:

Your use of the Platform

Your breach of these Terms

Your violation of applicable laws

17. GOVERNING LAW & ARBITRATION

These Terms are governed by the laws of Malaysia.

All disputes shall be resolved by binding arbitration in Malaysia, on an individual basis only.
Class actions are expressly waived.

18. MODIFICATIONS TO TERMS

We may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
